General

1. Name of Association: US-CHINA Global Economic Association (General Association)

2. Nature of General Association: The General Association is organized according to the principles of voluntary membership, self-selection and self-financing, and self-management, self-service, and self-development as the activity guidelines. It is a for-profit organization.

3. The purpose of the General Association: To focus on China and the United States, expand to the world, strengthen cooperation and exchanges between entrepreneurs in the US and China, and seek collaborative development.

4. Information of the General Association: The headquarters of the General Association is located at the World Trade Center in Seattle, Washington, USA. The branch is located in New York City, East Asia, with offices in Qingdao, China.

The business Scope of the USCGEA

Membership

The members of the General Association are Corporate Members.

  1. Advocating the charter of the General Association;
  2. Having the will to join the General Association;
  3. Having a certain influence in the field of business;
  4. Fully accomplishing the obligations of the members;
  5. It must be a legal entity registered with the Trade and Industry Bureau.
  1. Apply for membership;
  2. Approved by the board of directors for discussion;
  3. Issue a membership card and make an announcement.
  1. Participating in the activities of the General Association;
  2. Obtaining the priority of the services of the General Association;
  3. The right to criticize and recommend the work of the General Association;
  4. Volunteer membership and freedom of withdrawal.
  1. Compliance with the manual of the General Association;
  2. Implementing the resolution of the General Association;
  3. Maintaining the lawful rights and interests of the General Association;
  4. Completing the work assigned by the General Association;
  5. Paying the membership fee as required;
  6. To report the situation to the General Association and provide relevant information.

*Members who withdraw from the meeting should notify the General Association in writing and return the membership card. If the enterprise does not pay the membership fee for one year, it will be deemed to be automatically withdrawn.

*If a member violates the manual of Association, he or she may suspend the membership or be removed if he/she is approved by the Board of Directors.

*If a member withdraws from the General Association, is suspended from membership, or is delisted, he or she will terminate the position, rights, and obligations of the General Association.

Organization

The highest authority of the General Association is the member representative assembly. The powers of the member representative assembly are:

  • Formulating and amending the manual of association;
  • Election and removal of directors;
  • Reviewing the work report and financial report of the Council;
  • Deciding to terminate the matter;
  • Decide on other major issues.

A member representative assembly must be attended by more than two-thirds of the members’ representatives, and its resolutions must be approved by more than half of the members present.

The member representative assembly is held every 4 years. In case of special circumstances that need to be changed in advance or postponed, it shall be approved by the board of directors, and the extension shall not exceed one year.

The Board of Directors is the executive group of the member representative assembly. It leads the General Association to carry out daily work during the inter-sessional period and is responsible to the member representative assembly.

The authority of the Board of Directors is:

  • Implementing the resolutions of the member representative assembly;
  • Preparing to convene a member representative assembly;
  • Reporting the work and financial status to the member representative assembly;
  • Deciding the absorption or delisting of members;
  • Deciding to establish an office, branch or entity;
  • Deciding the appointment of the Secretary-General, the Deputy Secretary-General and the principals of the agencies;
  • Decide on other major issues.

The board of directors must have more than 2/3 of the directors to attend, and its resolutions must be approved by more than half of the members of the board of directors. The Council meets at least twice a year.

The General Association establishes a standing council. The Standing Council is elected by the Council and exercises the powers of Section 20 during the intercessional period of the Council and is accountable to the Council.

The Standing Council must have more than 2/3 of the standing directors to attend, and its resolutions must be approved by more than half of the standing directors. The Standing Council meets at least once every six months.

The President, Vice President and Secretary-General of the General Association must meet the following conditions:

  • having a greater influence in the business field of the General Association;
  • has not been subjected to criminal punishment;
  • having full civil conduct;
  • Having certain organizational capabilities, social activities, and social influence;
  • Passionate about the work of the General Association.

The President and Secretary-General of the General Association are appointed for a tenure. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than 2/3 member representatives of the member representative assembly.

The legal representative of the General Association is chaired by the President.

The President of the General Association operates the following powers:

  • Convening and presiding over the president's office and the standing council or council;
  • Examining the implementation of the resolutions of the member representative assembly and the Board of Directors;
  • Responsible for formulating the internal management system of the General Association;
  • Responsible for the daily management of the General Association, and has the right to grant other members of the leadership team to preside over the work;
  • Signing relevant important documents on behalf of the General Association;
  • Responsible for formulating and implementing the annual work plan;
  • Having the power to supervise and approve the financial affairs of the General Association;
  • The Secretary-General and the full-time deputy Secretary-General are nominated by the president, and more than half of the regular councils agree to adopt them.

The Secretary-General of the General Association operates the following powers:

  • To preside over the day-to-day work of the Secretariat and organize the implementation of the annual work plan;
  • Coordinating the work of various branches and entities;
  • Nominating the Deputy Secretary-General and the principal responsible persons of the various offices, branches, and entities, and submitting them to the Board for approval;
  • Deciding the employment of full-time staff of the office or entity;
  • Handling other daily affairs.

Secretariat:

The office of the Board of Directors is the Secretariat, which is responsible for handling the daily work of the General Association, being led by the president during the inter-sessional period of the Board of Directors, assisting the president in the work of the General Association, and coordinating the work of the relevant departments;

The Secretariat shall have several full-time deputy Secretaries-General, secretaries and clerical staff according to the needs of the work.

Under the Principle of Asset Management

Sources of funding for the General Association:

  • Membership fees;
  • Donation;
  • Income from activities or services carried out within the approved business scope:
  • Interest;
  • Other legal income.

Members’ donations must not be withheld and earmarked for special purposes.

The General Association collects membership dues from the same industry.

The funds of the General Association must be used for the business scope and career development as stipulated in the Manual of Association, and shall not be distributed among the members.

The General Association establishes a strict financial management system to ensure that accounting materials are legal, authentic, accurate and complete.

The General Association is staffed with professionally qualified accountants.

The asset management of the General Association must implement the financial management system stipulated by the state and accept the supervision of the member representative assembly.

The assets of the General Association, any unit, individuals shall not occupy, privately divide and misappropriate.
